như toshiba của nhật bản, đầy đủ ban bệ theo quy định, 25% thành viên hđqt độc lập, mà năm 2015 phải thú nhận, gian lận kế toán, thổi phồng lợi nhuận 1,2 tỷ usd trong 7 năm,

cái chính là hđqt đối xử/ứng xử với cổ đông thiểu số ra sao, thù lao của các thành viên hđqt phải dựa trên lợi nhuận mang về cho cổ đông v.v...

hướng mới đánh giá 'quản trị công ty' tốt hay không, là ko phải dựa trên 'đầu vào', mà là (kết quả) 'đầu ra', chia làm 3 loại:
- giám sát tình hình sản xuất kinh doanh (tài chính minh bạch, không gây tranh cãi)
- giám sát chiến lược (phân bổ vốn hiệu quả)
- mối liên kết với cổ đông (bảo vệ quyền của cổ đông thiểu số)

We have then sought to identify indicators for these outcomes that have a positive effect on financial performance.

We felt there was a great degree of management alignment with shareholders through existing shares and pay that put shares above salary...
